Our lawyers can explain the important differences of a shareholders’ agreement and a company constitution. The two agreements are commonly confused due to their similarities, however, the agreements have important differences that allow each agreement to be beneficial in specific situations.

A shareholders’ agreement is essentially a confidential book of rules for shareholders, which can be very useful if your company has multiple shareholders. A company constitution can be adopted to set out the rules on how the company is run, allowing you to differentiate from the ordinary rules set out in the Companies Act 1993. Although this may seem similar, a company constitution is not confidential as a copy of the constitution and other details must be disclosed to the Companies Register.
